Terms and Conditions of Sale

1. Definitions

·“Seller”: AMC SYSTEM SDN BHD

·“Buyer”: The party purchasing goods or services from the Seller

·“Goods”: MRO products, including standard stock items, make-to-order (MTO) items, and Ex- stock

2. Quotations and Validity

·All quotations are valid for 30 calendar days from the date of issuance unless otherwise specified.

·Prices are subject to change due to fluctuations in material costs, currency exchange rates, supplier pricing adjustments, or global tariff fluctuations without prior notice.

3. Order Acceptance

·All orders are are non-cancellable once PO confirmed.

4. Late Payment Terms

·Late payments may incur interest charges of 1.5% per month or the maximum rate permitted by law.

5. Delivery and Risk

·Delivery dates are estimates and not guaranteed. The Seller is not liable for delays due to factors beyond its control, including but not limited to supply chain disruptions or force majeure events such as war, act of gods, action by government of Malaysia.

·Risk of loss or damage passes to the Buyer upon delivery to the specified location as quoted incoterms.

6. Inspection and Claims

·The Buyer must inspect all goods upon receipt.

·Claims for shortages, defects, or damages must be made in writing within 5 days of delivery.

7. Warranty

·The Seller warrants that goods are free from defects in material and workmanship for a period of 30 days from delivery, unless covered by the manufacturer's warranty.

·This warranty does not cover misuse, mishandling, or improper installation.

8. Returns and Cancellations

·All Orders delivered are non-refundable and non-returnable once received.

9. Project-Based Sales Terms

·For project-specific deliveries:

·- A progress payment schedule may be implemented (e.g., deposit, delivery milestone, completion).

·- Any scope changes or variation orders requested by the Buyer must be documented and may incur additional costs.

·- Project timelines are subject to the Buyer's site readiness and approvals.

·- Partial deliveries may be invoiced in stages as work progresses.

10. Consignment Sales Terms

·Consigned goods remain the property of the Seller until issued or consumed by the Buyer.

·The Buyer shall:

·- Maintain proper storage and prevent damage.

·- Provide regular stock usage reports (weekly or monthly, as agreed).

·- Be responsible for loss, damage, or theft of consigned inventory.

·All consumed or damaged items shall be invoiced accordingly based on agreed unit prices.

·The Seller reserves the right to audit stock and retrieve unsold items with prior notice.

11. Limitation of Liability

·The Seller shall not be liable for any indirect, incidental, or consequential damages arising from the sale or use of goods.

12. Indemnity Clause

·The Buyer agrees to indemnify, defend, and hold harmless the Seller, its affiliates, officers, and employees from and against any and all claims, liabilities, damages, losses, or expenses (including legal fees) arising out of:

·- The Buyer's use, misuse, or resale of the goods;

·- Any breach of these Terms and Conditions by the Buyer;

·- Any third-party claims arising from modifications, installations, or integrations not carried out by the Seller.

13. Governing Law

·This agreement shall be governed by the laws of Malaysia, and any disputes shall be subject to the exclusive jurisdiction of the courts of Malaysia.
